Capstone Copper Corp (CSC) - Cozamin sale

Capstone Copper Corp., a copper mining company, mines,explores for, and develops mineral properties in the United States, Chile, and Mexico. The company primarily explores copper, silver, gold, molybdenum, zinc, iron, cobalt, and other base metals. Capstone Copper Corp. is headquartered in Vancouver, Canada.

Capstone Copper (CSC) has agreed to sell its Cozamin mine to Luca Mining Corp. in a transaction worthup to US$385 million, with completion expected in the December quarter 2026. While the sale of the asset was widely anticipated, the final consideration was below market expectations of around US$530 million.  The deal structure includes US$275 million in upfront cash, US$15 million in Luca Mining shares, US$35 million in deferred consideration, and up to US$60 million in contingent cash linked to annual average copper prices over CY27 to CY29. Given the high copper price thresholds required to unlock these contingent payments, we attribute little value to this component.

Importantly, the transaction strengthens CSC’s balance sheet and improves its ability to fund the large Santo Domingo copper project, where a final investment decision is targeted for late 2026. With the sale incorporated into our numbers, our production forecasts are lowered by 8–9% from FY27, while earnings before interest, tax, depreciation and amortisation (EBITDA) is reduced by 11–12%. This translates to a circa 20% decline in EPS. Removing Cozamin from the valuation reduces the target price to $15.00 from $15.50.

With the upside more limited from here, we lower our recommendation on CSC to Hold from Buy, but note that copper prices are currently stronger than our long-term assumption of US$5.50/lb which should provide valuation support.
